Rights to Use the Services

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use and access the Services for your personal, non-commercial use. Access to certain premium features may require a paid subscription, as detailed in Section 5. Any use of the Services not expressly permitted by these Terms is prohibited. We reserve the right to modify or discontinue any aspect or feature of the Services at any time without notice.

Eligibility

You must be at least 13 years old to create an account and use PinIt. If you are between the ages of 13 and 18 (or the age of legal majority in your jurisdiction), you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms. By using PinIt, you represent and warrant that you meet these requirements. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account.

User-Generated Content

By submitting, posting, or displaying content (including text, images, videos, locations, routes, and other media - "User Content") on or through PinIt, you grant PinIt a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable license to use, host, store, cache, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in connection with operating, providing, and improving the Service and for promotional purposes.

You acknowledge and agree that:

• You retain ownership of your User Content.
• You represent and warrant that you have all necessary rights, licenses, consents, and permissions to grant the foregoing license and to submit the User Content.
• We have the right (but not the obligation) to remove or refuse to distribute any User Content at our sole discretion, without notice or liability.
• You will not post User Content that is unlawful, defamatory, infringing, obscene, invasive of privacy or publicity rights, abusive, inflammatory, or otherwise objectionable.

Assumption of Risk & Disclaimer

PinIt allows users to share locations, routes, and experiences. This information may be user-generated and could be incomplete, outdated, or inaccurate. Activities undertaken based on information found on PinIt (such as hiking, exploring, or visiting locations) carry inherent risks, including but not limited to personal injury, property damage, or even death. Conditions can change rapidly due to weather, natural events, or human activity.

By using PinIt, you acknowledge and agree that:

• You assume all risks associated with using information from the platform and participating in any related activities.
• PinIt is not responsible for verifying the accuracy, safety, legality, accessibility, or condition of any location or route shared on the platform. Always exercise caution, check official sources, respect private property, and obey all applicable laws and regulations.
• You release PinIt, its owners, employees, affiliates, and agents from any and all liability, claims, demands, actions, or causes of action arising out of or related to your use of the Service or any activities undertaken based on information obtained through the Service.

Subscriptions and Payments

• Subscription Required: Access to certain enhanced features and content within the Service ("Premium Features") may require an active paid subscription ("Subscription"). We may offer different subscription plans with varying features, terms, and pricing (e.g., monthly, annual).
• Billing: When you purchase a Subscription, you agree to pay the applicable fees presented to you at the time of purchase. All payments are processed through third-party payment processors (such processors collectively, “Payment Processor”). You authorize us (or our third-party processor) to charge your chosen payment method ("Payment Method") for the Subscription fees.
• Automatic Renewal: Unless you cancel your Subscription before the end of the current subscription period, your Subscription will automatically renew for successive periods of the same duration as the initial term (e.g., monthly or annually) at the then-current price. You authorize us (or our third-party processor) to charge your Payment Method for the renewal term.
• Cancellation: You can cancel your Subscription at any time.
  • If purchased via our website, cancellation can typically be done through your account settings.
  • If purchased through a mobile app store (like Apple App Store or Google Play Store), you must cancel through the respective store"s subscription management tools.
  • Cancellation will take effect at the end of your current paid billing period. You will continue to have access to the Premium Features until the end of the current period.
• Refund Policy: Payments are non-refundable, and there are no refunds or credits for partially used subscription periods, unless otherwise required by applicable law (such as statutory consumer rights in England and Wales, which may include a cooling-off period for initial purchases).
• Payment Information: You are responsible for providing complete and accurate billing and contact information and keeping it up-to-date. Failure to provide payment or if your Payment Method is declined may result in suspension or termination of your access to Premium Features.
• Free Trials: We may, at our sole discretion, offer a free trial for a Subscription. Specific terms of the free trial will be provided at signup. Unless you cancel before the end of the free trial period, your trial may automatically convert into a paid Subscription, and your Payment Method will be charged the applicable Subscription fee.
• Gift Subscriptions
  • You may be able to purchase certain pre-paid, non-renewing Subscriptions for other users or potential users (“Gift Subscriptions”). A user who purchases a Gift Subscription (a “Giftor”) must designate a specific recipient (e.g., via email address) at the time of purchase, who will receive and has the option to redeem the Gift Subscription (“Recipient”) for a Subscription to specified Premium Features.
  • The term (e.g., 1 year) of the Subscription obtained via a Gift Subscription commences on the date that the Recipient successfully redeems the Gift Subscription code or link.
  • All fees for Gift Subscriptions are charged as a one-time payment to the Giftor at the time of purchase. The Giftor will receive a purchase confirmation and receipt.
  • The Giftor may be able to specify a future date for the Gift Subscription notification to be delivered electronically to the Recipient.
  • The Gift Subscription code or link will be sent to the Recipient on the date specified by the Giftor (or near the purchase date if no future date is set). The Gift Subscription is valid to be redeemed for a Subscription within the redemption period specified at the point of purchase or in the accompanying notification (the “Expiration Period”).
  • PinIt will make commercially reasonable efforts to notify the Recipient electronically prior to the expiration of the redemption period for the Gift Subscription.
  • A Gift Subscription can only be redeemed once, is not transferable after purchase, and may only be used in the country for which it was purchased, subject to service availability.
  • A Gift Subscription cannot be redeemed for cash, resold, or combined with other promotional offers unless explicitly stated otherwise by PinIt.
  • Our Payment Processor will charge the Payment Method provided by the Giftor at the time of purchase, not upon delivery or redemption.
  • Neither the Giftor nor the Recipient is eligible for any refund or credit related to a Gift Subscription that is not redeemed before its Expiration Period, except where required by applicable law.
  • The Giftor is responsible for ensuring the Recipient’s contact information (e.g., email address) is entered accurately. PinIt is not responsible if a Gift Subscription notification is not received due to incorrect information provided by the Giftor, or if a Gift Subscription code/link is lost, stolen, or used without permission after delivery to the Recipient"s provided contact.

Prohibited Activities

You agree not to use PinIt for any unlawful or harmful purposes, including but not limited to:

• Trespassing: Posting, sharing, or encouraging access to restricted, private, or unsafe locations.
• Harming the Service: Engaging in hacking, scraping, or introducing malicious software.
• Disruptive and Disrespectful Use: Harassing other users, posting offensive content, or engaging in any behavior that disrupts the community.
• Commercial Exploitation: Selling, licensing, or otherwise monetizing our content without permission.
• Impersonation & Fraud: Misrepresenting your identity, creating fake accounts, or engaging in misleading activity.
• Data Mining: Collecting or harvesting personal data from the platform.
• Unauthorized Automation: Using bots, scripts, or automated tools to access or manipulate the Service.

Violations may result in content removal, account suspension, or termination at our discretion.

Intellectual Property

The Service and its original content (excluding User Content), features, functionality, trademarks, logos, and service marks ("PinIt IP") are and will remain the exclusive property of PinIt and its licensors. The PinIt IP is protected by copyright, trademark, and other laws of England and Wales and foreign countries. Our trademarks may not be used in connection with any product or service without our prior written consent. Your license to use the Service (as granted in Section 1) is limited and does not grant you any rights to use the PinIt IP beyond accessing and using the Service as intended.

Account Suspension and Termination

We may suspend or terminate your account at any time if you violate these Terms or engage in conduct deemed harmful to the Service or its users.

• By Us: We may suspend or terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately, if we believe, in our sole discretion, that you have violated these Terms or engaged in conduct harmful to the Service, its users, or third parties.
• By You: You may terminate your account at any time by using the account deletion feature within the Service settings.
• Effect of Termination: Upon termination, your right to use the Service will immediately cease. If you terminate your account, we may permanently delete your account and associated data, although some User Content you submitted may remain visible or accessible if shared publicly or by others. Termination does not relieve you of obligations incurred prior to termination (including payment obligations for Subscriptions up to the end of the current billing cycle). Provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution provisions. Termination generally does not entitle you to a refund for any prepaid Subscription fees unless required by law.

Dispute Resolution (U.S. Users Only)

For users in the United States, disputes shall be resolved through binding arbitration, waiving the right to sue in court, except for small claims matters. Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) in a mutually agreed-upon location.

• Exceptions to Arbitration: Either party may bring an individual claim in small claims court.
• Class Action Waiver: You agree not to participate in any class action lawsuit against PinIt.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PINIT, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF PINIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICE OR ANY CONTENT OR SERVICES THEREIN.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PINIT"S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES, IF ANY, PAID BY YOU TO PINIT FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED POUNDS STERLING (£100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. For users outside the United States where the U.S. dispute resolution clause does not apply, you agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any legal matter arising from the Terms, unless otherwise required by mandatory local law in your jurisdiction.

Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect, such as by posting a notice on the Service or sending an email to the address associated with your account. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.
